THIS
CONTEST IS INTENDED FOR RESIDENTS OF CANADA ONLY AND WILL BE
INTERPRETED ACCORDING TO CANADIAN LAW AND SUBJECT TO ALL CANADIAN
FEDERAL, PROVINCIAL, MUNICIPAL AND LOCAL LAWS AND REGULATIONS. VOID
WHERE PROHIBITED.




  1. The
    "
    Dell Web
    Takeover
    "
    Contest (the "
    Contest") runs from July 18th,
    2011 at 9:00 a.m. [ET] to August 12
    th,
    2011 at 9:00 a.m. [ET] (the “Contest Period”). This Contest
    is
    run by
    the Youth
    Culture (“YC”) and sponsored by Dell Canada Inc. (“Dell”),
    collectively the “Contest Sponsors” and
    will take place in any province/territory within Canada (excluding Québec).
    Applications submitted will be kept by Youth Culture for prize
    selection.



  2. Eligibility Criteria: This Contest is open to all individuals who reside in any
    province/territory within Canada (excluding
    Québec)
    to individuals who are thirteen
    (13)
    years of age or older as of the date of entering the Contest.
    Please
    note:
    potential winners who have not reached the age of majority in their
    province of residence must receive permission in writing by their
    parent or legal guardian in order to qualify as a potential prize
    winner
    .
    Individuals must read, accept, comply and will be bound by the
    Official Rules and Regulations of this Contest.
    Note: Employees
    of the Contest
    Sponsors, or persons
    domiciled with an employee of the Contest Sponsors, their agents,
    parent, affiliated or related companies, subsidiaries, divisions and
    promotional agencies,
    as
    well as members of the immediate family (such as their father,
    mother, brothers, sisters or children) of such employees, their
    legal or common-law spouses or any persons with whom such employees
    reside (whether related or not), and all government entities and/or
    public
    healthcare
    entities are not eligible to enter, or otherwise, to participate in
    this Contest.
    Proof of identification must be provided upon request. Prizes must
    be accepted by the parent or legal guardian of winners who are under
    the age of majority.



  3. Method of Entry: No
    purchase/payment is necessary to enter the Contest. To enter the
    Contest, go to www.dell.com and
    find the Switch Cover pattern that is being hosted on www.vervegirl.com for that
    week, during the Contest Period. Tell us which cover it is back at www.vervgirl.com and complete
    an Application Form. All Application Forms must include entrant’s
    full name, age, mailing address, contact number and a valid e-mail
    address.
    Incomplete Application Forms will
    be deemed as invalid and will be disqualified/null and void. Once
    the
    Application
    Form
    is
    fully completed, you
    must
    submit it and
    will
    then obtain one entry into the Contest (the “
    Qualifying Entry”).
    All Qualifying Entries become the property of Youth Culture



  4. Limit of Entries: There
    is a limit of
    one
    (1
    ) Qualifying Entry per residential address and per valid e-mail address during the
    Contest
    Period.
    Entrants using numerous emails/residential address will be
    disqualified from this Contest
    Note:
    Only one prize is permitted per residential address.



  5. Qualifying Entries received
    online shall be deemed to be submitted by the holder of the
    Application Form.



  6. All valid and Qualifying Entries
    must be submitted during the Contest Period. Qualifying Entries
    received before or after the Contest Period are not valid and will
    be deemed as null and void.



  7. Potential winners of the Contest
    will be notified by email within
    two
    (2) business days
    after the end of the Contest and at the email address indicated on
    their submitted Application Form. If a selected entrant cannot
    be reached within two (2) business days, the entry is null and void
    and the Sponsor reserves the right, in its sole and absolute
    discretion, to select at random another eligible entrant as a
    potential prize winner from the remaining eligible Qualifying
    Entries.



  8. Skill Testing Question: Before a selected
    entrant is declared the winner of the Contest, he or she must answer
    a time limited, mathematical skill-testing question to be
    administered by telephone at a mutually convenient time. If the
    selected entrant’s telephone number is not on file, a Youth Culture
    representative will request it via email at the time the selected
    entrant is notified that he/she was selected as a potential winner
    in the Contest draw.



  9. All Application Forms become the
    property of the Contest Sponsors who assume no responsibility for
    incorrect or inaccurate capture of submitted application
    information, technical malfunctions, human or technical error,
    printing errors, lost, delayed or garbled data or transmissions,
    omission, interruption, deletion, defect or failures of any
    telephone or computer line or network, computer equipment, software
    or any combination thereof.



  10. Application materials/data that
    have been tampered with or altered are void.
    For
    the purposes of the Contest, the “Contest Group” is composed of
    the Contest Sponsors
    together
    with its affiliates, including without limitation its parent, sister
    and subsidiary companies, retailers, franchisees, advertising and
    promotion agencies, suppliers of material and services related to
    the Contest, and any other corporation, partnership, sole
    proprietorship or other legal entity directly involved in the
    Contest and their respective employees, agents, and representatives.
    The Contest Sponsor shall not be held responsible for any errors
    or negligence that may arise or occur in connection with the Contest
    including any damage to an entrant’s computer equipment, system,
    software or any combination thereof, as a result of their
    participation in this Contest.  All decisions of the Contest
    Sponsors are final in all matters as they relate to this Contest.



  11. PRIZES: There are a total of four
    (4) prizes available to be won. Each prize consists of one (1)
    Dell™ Inspiron R Laptop SWITCHCOVER by Design Studio. Approximate
    retail value is $200/each CDN.



  12. DRAW: 
    On or around July 22
    nd,
    July 29
    th,
    August 5
    th and August 12th, 2011,
    and at the head office of Youth Culture located at 651 Queen St.,
    E., Toronto, Ontario, four (4) entries will be randomly drawn from
    all valid entries received during the Contest Period. Once the
    winner has confirmed acceptance of the prize, the prize will be sent
    out by Dell.  





  1. AWARDING OF PRIZES: To
    be declared a winner, a selected entrant must, in addition to
    meeting the
    Eligibility Criteria (Section 2 above) and
    otherwise complying with the
    Official
    Rules and Regulations of this Contest must, within 2 days of being
    contacted, complete and return to Youth Culture (YC) a Contest
    Eligibility and Liability/Publicity Release (a “Waiver of
    Liability Form”) releasing the Contest Sponsors and their
    respective directors, officers and agents from all liability and,
    except where prohibited by law, permitting YC to use the selected
    entrant’s name, address (city and province) and image, without
    compensation, and in perpetuity, in any and all forms of media now
    known or hereafter devised, including the Internet, in any publicity
    carried out by YC. If the selected entrant is under the age of
    majority, the Waiver of Liability Form must be signed and submitted
    by his or her parent or legal guardian. Youth Culture has the
    sole authority and discretion to determine whether a Waiver of
    Liability Form has been properly executed and has the sole authority
    and discretion to accept or refuse a Waiver of Liability Form that
    has not been properly executed. 
    Following
    receipt of the selected entrant’s signed
    Waiver
    of Liability
    the
    Contest Sponsors or its representatives will send all prizes to each
    of the winners. Please allow
    four
    (4) to six (6) weeks
    for delivery of same



  2. No correspondence will be
    entered into, except with potential winners of this Contest.



  3. The Contest Sponsors, their
    affiliates, franchisees and each of their directors, officers,
    employees and agents are not in any way responsible for any lost,
    misplaced, destroyed, delayed, misdirected or undelivered Entries.



  4. Minors: Where the selected entrant and/or guest (where applicable) is under
    the age of majority in his/her province of residence, as a
    pre-condition to the selected entrant being declared the winner and
    receiving the prize (or the guest being entitled to participate in
    the prize, where applicable), the parent or legal guardian of the
    selected entrant (and/or guest, where applicable) must consent in
    writing to the selected entrant being declared a winner and
    receiving a prize (and/or the guest participating in the prize,
    where applicable) and must also sign and return to the Contest
    Sponsor the Contest Sponsor’s form(s) of
    Waiver
    of Liability
    documentation (see Rule 14 above).



  5. Odds of Winning: The
    odds of winning the Contest are dependent on the total number of
    eligible and valid Entries received during the Contest Period. 



  6. All decisions of the Contest
    Sponsors are final and cannot be reviewed or in any way appealed.
    Awards to potential winners have no cash surrender value. The
    Contest Sponsors reserve the right to make reasonable substitutions
    for all or any portion of the Prizes.



  7. The Contest Sponsors reserve the
    right to withdraw, amend, terminate or suspend in whole or in part
    this Contest at any time without prior notice and without liability.



  8. By completing the Application
    Form, consent is given to the collection, use and distribution of
    the personal information disclosed, by the Competition Sponsors for
    the purposes of running the Competition (information is stored for
    approximately 1 year). Competition Sponsors will not sell or
    transmit this information to third parties except for the purposes
    of administering the Competition. Any inquiry concerning the
    personal information held by the Competition Sponsors should be
    addressed to the Competition Sponsors.



  9. Dispute
    – Canadian Residents:
    Any litigation respecting the conduct or organization of a publicity
    Contest may be submitted to the
    Youth
    Culture,
    651
    Queen St. East, Toronto, Ontario,
    for
    resolution
    . In
    the event of a dispute regarding who submitted an on-line Entry, the
    Entry will be deemed submitted by the holder of the e-mail account
    on the Application Form.



  10. The
    following definitions apply throughout the Contest Rules. Where
    words are defined in the singular, the plural of that word has a
    comparable meaning; where words are defined in the plural, the
    singular form of that word has a comparable meaning. The possessive
    form of a word also has a comparable meaning to that word.




    • "Application Form",
      or "Application" means the form completed and submitted
      on the Web sites [
      www.vervegirl.com];



    • Entrant” means the person
      whose name and applicable personal information are entered on a
      Application Form and "Potential Winner " means an Entrant
      who has been selected as a potential Contest Winner;



    • Promotion or Contest
      Sponsor" means Youth Culture Inc., its publications and the
      media and promotional partners of Youth Culture Inc., and each of
      their respective affiliates, directors, officers, employees and
      agents.




  11. Dell Canada Inc. Disclaimer: The Contest is in no
    way
    administered
    by, or associated with
    Dell
    Canada Inc
    .
    other than its sponsorship and donation of prizes. You understand
    that you are providing your information to the
    Youth
    Culture
    and
    not to
    Dell Canada
    Inc.
    The information you provide will only be used for the administration
    of this Contest and in accordance with the
    Youth
    Culture
    ’s
    privacy policy.
    Dell
    Canada Inc. is
    completely
    released of all liability by each entrant in this Contest. Any
    questions, comments or complaints regarding the Contest must be
    directed to the
    Youth
    Culture
    and not Dell
    Canada Inc.
